Normally we try to keep Church business private and out of the spotlight, however some events have caused us to have to make some public statements. Some of these things are still ongoing investigations and pending legal actions so details will be limited.
On February 9th 2021 the Board of Directors was suspended pending investigations into failures of certain officers in performing their jobs. Upon investigation it was determined that 3 members of the Board of directors lacked the required standing by the Keltic Orthodox Church Bylaws.
Upon review of the financial documents from the outgoing CFO, Mr. Phillips, there were no records or receipts that any other membership dues had been paid, by the bylaws they must be paid by 12/31 of the prior year to count towards the current year. As of 1/1/2021 the only members with voting rights are Ryan Taylor, Denise Taylor, Patrick Gregory Lane, and TC Ryker. Between direct records of the transactions, bylaws and continuing resolutions of the Board, members of the Land Trust Committee always have the right to exercise their voting rights. (05-03-2015 Board meeting) the other 2 members of the Land Trust Committee, Bruce Baker and Michael Harrison have not been in contact with the Secretary’s office to activate their voting status.
On March 6th 2021 through proper procedures contained in the bylaws, Andy Phillips, Paul Wardlaw, and Laurie Duckett were removed as board members and stripped of all membership rights. All other non-compliant memberships were also suspended pending results financial audits being conducted on the records turned over by Mr. Phillips. The current recognized Board of directors is Ryan Taylor, TC Ryker, and Patrick Gregory Lane. The current recognized Officers of the organization are CEO – Ryan Taylor, CFO – TC Ryker, COO – Patrick Gregory Lane, Secretary – Ryan Taylor, there are no other officers or directors at this time.
Any actions these individuals (Mr. Phillips, Mr. Wardlaw, Ms. Duckett) have taken alleging to be Board members or Officers of the organization are not valid and not recognized by the Corporation and considered to be fraud. No official meeting of membership has been called following the process in the bylaws and notice has not been sent out by the Secretary of the Organization. Anything they have instructed others to do on behalf of the Organization are not valid. There was no 2020 annual membership meeting as the CFO failed to provide the Secretary with the payment status of the membership prior to the cutoff for the annual meeting notice. The 2021 annual meeting will proceed according to the bylaws and those entitled to vote will receive notice as prescribed in the bylaws. All notice for meetings must be sent out by the Secretary.
As notice of non-renewal of leases has already been sent to all tenants, anyone still living there after 10/31/2021 will be subject to eviction proceedings for over staying non-renewed leases.
